4. Intellectual Property

Client Materials

5. Payment Terms

• Invoices are due within 14 days unless otherwise specified
• Late payments may incur additional fees
• We reserve the right to pause work on overdue accounts

6. Project Changes

Changes to project scope, timeline, or requirements after agreement may result in additional costs. We will communicate any changes and obtain your approval before proceeding.

7. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law.

8. Warranties and Disclaimers

We strive to deliver high-quality work that meets the agreed specifications. However:

• Services are provided "as is" without warranties of any kind, express or implied
• We do not guarantee that our services will be uninterrupted or error-free
• We are not responsible for third-party services, APIs, or platforms

9. Limitation of Liability

To the maximum extent permitted by law, NextPathDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

10. Termination

Either party may terminate the agreement with written notice. Upon termination:

• You are responsible for payment of work completed to date
• We will provide any completed deliverables
• Both parties will return or destroy confidential information

11. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes may be submitted to binding arbitration.

12. Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
